These Terms govern your access to and use of our products and services, including those offered through our websites, events, communications (e.g., emails, phone calls, and texts) and mobile applications (collectively, the “Service”). By accessing or using the Service, you are agreeing to these Terms, which form a legally binding contract with: YaaLk Technologies Inc. Do not access or use the Service if you are unwilling or unable to be bound by the Terms.
Definitions: Parties. “You” and “your” refer to you, as a business account user of the Service. A “user” is someone who accesses or in any way uses the Service. A “Business Account User” is a distinct entity, and refers to business Job Providers that use YaaLk for hiring purposes. It is different from a regular “user“, a non-corporate individual who uses our services. We,” “us,” and “our'' refer to YaaLk. “Business Accounts” or “Job Providers” refer to you, companies or representatives of companies that will use our platform for hiring purposes. “Work Professionals” refer to regular users of our platform.
By using any of the Services and the Website, You expressly agree to be bound by these terms and all applicable laws and regulations governing the Website and the Services. The terms form a legally binding agreement between you and YaaLk in relation to your use of the Website and/or the Services and applies to all users of the Services, whether registered or not, on the Website.
We may, at our sole discretion, modify or revise these Terms of Service and policies at any time by giving notice on our website and/or through the Services, and you agree to be bound by such modifications or revisions. Although YaaLk may attempt to notify you, when major changes are made to these Terms of Service, you should periodically click on our Terms of Service to review any updates. All changes shall be effective immediately when we post them and shall apply to all access to and use of our website thereafter. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits hereunder.
a) Accepting A Job Offer: When Work professionals accept job offers, they must have sufficient YaaLk Tokens proportionate to 5-8% of the total wages. The Tokens will only be deducted after a Work professional accepts and Job Provider confirms it. If a Work professional has a negative Tokens balance in their YaaLk wallet, they will not be able to accept any job until they pay it off. Regardless of whether you will continue to accept jobs, if you have a negative balance in your YaaLk wallet, you are required to pay us the correct amount owed to us . In the event Work professionals fail to do so we reserve the right to take legal action against them
b) Contracts:Once a job offer is accepted, it will be a legally binding contract between the Work professional and the Job Providers.
c) Changes To Jobs: If any changes to job details are required, the Job Provider must send a new offer; the Work professional must accept these new terms. If there are any changes after the job has already been accepted, the Work professional and Job Provider must agree to new terms otherwise current job terms hold true
d) Cancellation Of Job: A job can only be cancelled after it has been accepted. If the Work professional wishes to cancel the job, they will lose any YaaLk Tokens already committed and the Work professional has no right to pursue this matter. If the Job Provider cancels the job, YaaLk Tokens committed by the Work professional will be refunded to the Work professional’s wallet on our platform
e) Currency: All wages displayed are in local currency of the Job Provider and are subject to local and national taxes.
f) Payment: Wages will be paid directly by the Job Providers. Wage payment for the executed contract will strictly be on Job Providers payroll system and policies. YaaLk shall not be liable for actual payment of the job contract. YaaLk is not liable if a Job Provider does not pay as we are not arbiters of dispute, rather a platform for them to connect and agree on work. We have no obligation nor is it our liability to pursue any matters regarding payment between a Work professional and Job Provider . However, if any Job Provider refuses to pay according to any agreement between itself and a Work professional, YaaLk has the right to investigate and take appropriate action at our sole discretion.
g) Job Sharing: Accepted Jobs Offers (Contracts) can be shared with secondary YaaLk Users with approval of the Job Provider. Secondary YaaLk Job Sharing User will need to commit YaaLk Tokens proportionate to the salary after accepting the job offer. If Work professionals wish to share jobs with someone who doesn’t currently have a YaaLk account, they must create an account to accept. Payment will only be made to the Primary User, who can decide how to allocate the paid amount after with any other Work professionals the job has been shared with. It is neither the Job Provider's nor YaaLk’s obligation to pay the Secondary User or to make sure the Secondary User gets paid. That responsibility lies solely with the Primary User of a job. The Job Provider bears no legal responsibility for the Secondary User, including health and safety measures. There is no legal agreement between a Secondary User and a business account.
h) Job Delegation: After accepting a job, Work professionals will have the option of delegating the entire job to another YaaLk Work professional via Job Delegation with approval of the Job Provider. Any YaaLk Token already committed by a Primary Work professional will be returned to their wallets and the Secondary Work professional will need to commit the appropriate number of Tokens. The agreement between the Primary User and the Job Provider will be void and a new contract will be sent to the Work professional whom the task has been delegated to.
i) Referrals: Work professionals may provide referrals to Job Providers should they be unavailable to accept a job but knows someone in their connection who is on YaaLk Platform may be available.
j) Renewal: If a Job Provider decides to renew the contract and continue to work with the Work professional on the same terms, the Work professional may accept or reject. Accepting to renew will mean committing YaaLk Tokens proportionate to the salary of the renewed contract.
k) Overtime: If a Job Provider asks you to work overtime but it wasn’t mentioned in the job details when you accepted, you are not required to stay and work.
l) Heakth and Safety: If any safety measures are required for certain jobs, it shall be the Job Provider's responsibility to provide the same . YaaLk will not be liable for anything that happens regarding a Work professional’s health or safety. It shall be Work professional’s responsibility to ensure their own health and safety upon accepting an offer.
m) Unexpected Scenarios: If Work professional accepts a contract and does not show up or is late, YaaLk shall not be laible for any aftermath. If any other unexpected scenarios occur, such as a Job Provider finding Work professional at fault or for missing equipment, YaaLk is shall not held liable for the same.
You are responsible for any information you provide to YaaLk, other users, Work Professionals, business accounts, or other entities. You assume all risks associated with your information, including anyone’s reliance on its quality, accuracy, or reliability, and any risks associated with personal information you disclose. You may not imply that your information is in any way sponsored or endorsed by YaaLk. You may expose yourself to liability if, for example, your information contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, service mark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; violates or advocates the violation of any law or regulation; or violates these Terms. Any of your information that is misused, such as if you send a stranger your address and it is leaked, is not the responsibility of YaaLk and we have no obligation to be involved in this matter. Furthermore, by agreeing to the Terms of Service of YaaLk, Work professionals agree to undergo a criminal record and reference check.
Should disputes arise between Job Providers and Work Professionals, YaaLk is not responsible for resolving these disputes and has no obligation to be involved in them.
During the Term of this Agreement, You shall operate as and have the status of an independent contractor and shall not act as, be or construed to be an agent or employee of YaaLk. The relationship between the Parties is on a principal-to-principal basis, and none of the provisions of this Agreement shall be interpreted as creating the relationship of Job Provider and employee between you and YaaLk at any time, under any circumstances or for any purpose. Therefore, You will not be entitled to any employee benefits, statutory or otherwise, offered by YaaLk. You shall be responsible for the payment of all applicable taxes to which he may be subject as an independent contractor. You agree not to assume or create any obligation or responsibility, express or implied, on behalf of or in the name of YaaLk. You do not have the authority to create, modify or terminate a contractual relationship(s) between YaaLk and any third party or act for or bind YaaLk in any respect.
a) Communication Between Work professional And Job Providers: Work professionals will use YaaLk as the sole means to communicate or interact with Business Accounts or Job Providers prior to signing a contract. If the Contract between the Work professional and the Job Provider is terminated from the platform, the Job Provider or Work professional still retains the lien with YaaLk and shall not perform the work circumventing it.
b) Pausing Or Terminating Service: Even if you pause or stop using our service (stop subscribing for one month or longer), this non-circumvention is binding for 2 years beginning your last interaction with a specific user.
c) Third-Party Interference : Work professionals may not use third parties of any kind to interact with Job Providers on behalf of them. This includes asking a friend, family member, or even a stranger to interact with business accounts. Doing so violates this agreement and we can take legal and financial actions against you.
d) d) Making Contact Through Yaalk : You acknowledge and agree that a substantial portion of the compensation Yaalk receives for making the Site available to you is collected through Yaalk Tokens as described above and that in exchange a substantial value to you is the relationships you make with other Work professionals & Job Providers when you identify or are identified by another person through the Site or Site Services (the “Yaalk Relationship”). Yaalk only receives this Yaalk token when a Job Provider offers a job, and user accepts a job by paying for Yaalk Tokens.
Therefore, except as set out in this Section, from the start of an Yaalk Relationship (the “Non-Circumvention Period”), you agree to use the Site as your exclusive method to request, make, and receive all payments for work directly or indirectly with that person or arising out of your relationship with that person and not to circumvent the Contract offered on the Site unless you pay a fee to take the relationship off of the Site (the “Conversion Fee”). For the avoidance of doubt, if you, or the business you represent, did not identify and were not identified by another person through the Site, such as if you and another User worked together before meeting on the Site, then the Non-Circumvention Period does not apply.
e) Survival. Notwithstanding the foregoing, the provisions pertaining to Non- Circumvention shall survive the termination of this Agreement
f) Communicating Through The Site; Not Sharing Contact Details: Users agree to use the communication services available on the Site to communicate with other Users prior to entering into a Service Contract. You agree that prior to entering into a Service Contract, you (a) will use Yaalk as the sole manner to communicate with Business Account Users; (b) will not provide your Means of Direct Contact (defined below) to any other User or another person that you identified or were identified by through the Site; (c) will not use Means of Direct Contact of another user to attempt to or to communicate with, solicit, contact, or find the contact information of a User outside of Yaalk; (d) will not ask for, provide, or attempt to identify through public means the contact information of another User; and (e) you will not include any Means of Direct Contact (defined below) or means by which your contact information could be discovered in any profile, proposal, job posting, invitation, or pre-hire communication through the Site’s communications services (including in each case in any attached file), except as otherwise provided on the Site.
For purposes of the Terms of Service “Means of Direct Contact” means any information that would allow another person to contact you directly, including, without limitation,, email address, physical address, a link to a contact form or form requesting contact information, any link to an applicant management system or means to submit a proposal or application outside of the Site, or any information that would enable a user to contact you on social media or other website or platform or application that includes a communications tool, such as Skype, Slack, Wechat, or Facebook. For the avoidance of doubt, information is a Means of Direct Contact if it would enable another user to identify any of the information above through other sources, such as going to a website that included an email address or identifying you on social media, such as through Facebook or LinkedIn. You agree to notify YaaLk immediately if a Work Professional or Job Provider attempts to contact you outside of the Site. If you are aware of a breach or potential breach of this non-circumvention agreement, please submit a confidential notice to YaaLk.
g) Opting Out: You may opt out of the obligations in this Section with respect to each Yaalk Relationship only if the Job Provider or Work professional pays YaaLk a Conversion Fee which is a minimum of $2,500 CAD CAD for each Yaalk Relationship. Specific amounts and calculations will be provided upon opting out. If you opt out, this non-circumvention agreement between YaaLk and yourself will be terminated with regards to the specific Work Professional you choose. Each Work Professional will require a separate opt out.
You understand and agree that if YaaLk determines, in its sole discretion, that you have violated this Section , Yaalk or its Affiliates may, to the maximum extent permitted by law (a) charge your Payment Method the Conversion Fee (including interest) if permitted by law or send you an invoice for the Conversion Fee (including interest), which you agree to pay within 30 days, (b) close your Account and revoke your authorization to use the Site and Site Services, and/or (c) charge you for all losses and costs (including any and all time of Yaalk’s employees) and reasonable expenses (including attorneys’ fees) related to investigating such breach and collecting such fees. Furthermore, If you owe YaaLk any monetary balance, we have the right to take legal actions against you. An account that is delinquent at the end of the term without approved resolution can be forwarded to a collection agency for appropriate action.
This Website and all content forming part of the Website, including without limitation, all photographs, ideas, images, designs, information, interfaces, text, graphics, brand names, logos and trademarks, are protected by copyright, trade mark and other intellectual property laws of Canada. You acknowledge and agree that Yaalk owns, controls or is licensed all legal right, title and interest in and related to the Website, including all intellectual property rights. You may not:

You agree to indemnify, defend, and hold harmless YaaLk and its representatives from and against any and all third party claims, actions, demands, losses, damages, costs, liabilities and expenses (including but not limited to attorneys’ fees and court costs) arising out of or relating to:
(i) your access to or use of the Service, including Your Content, (ii) your violation of the Terms, (iii) your breach of your representations and warranties provided under these Terms, (iv) any products or services purchased or obtained by you in connection with the Service, (v) your products or services, or the marketing or provision thereof to end users, or (vi) the infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity. YaaLk reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of YaaLk. YaaLk will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.
The Site is not for use by anyone under the age of 16. However, if local laws provide for an alternative minimum age for YaaLk to lawfully provide the services in the Site to you, then that shall apply as the applicable minimum age. In all jurisdictions outside the European Union, if you are under the age of 18 or the age of majority in your jurisdiction, you must use YaaLk under the supervision of your parent, legal guardian or responsible adult. YaaLk adopts a range of measures to try to ensure that we do not accept individuals who do not meet the minimum age and any other applicable age requirements.

You agree not to engage in any illegal activity, including and not limited to not to accessing (or attempt to access) the Site by any means other than through the interface that is provided by Yaalk, unless you have been specifically allowed to do so in a separate, written agreement with Yaalk. You agree that you will not engage in any activity that interferes with or disrupts the Site (or the servers and networks which are connected to the Site). Unless you have been specifically permitted to do so in a separate, written agreement with Yaalk, you agree that you will not crawl, scrape, reproduce, duplicate, copy, sell, trade or resell the Site for any purpose. Using or providing any false, fake, or fictitious name or contact information in connection with the Site is grounds for immediate termination of your Yaalk account and ability to use the Site.
You agree that you are solely responsible for (and that Yaalk has no responsibility or liability to you or to any third party for) any breach of your obligations under this Agreement and for any consequences (including any loss or damage which Yaalk may suffer) of any such breach.You agree that you shall not transmit to Yaalk or upload to or through the Site (whether as User Content or otherwise) any Harmful Code, or use or misappropriate the Site for your own commercial gain. “Harmful Code” shall mean any software (sometimes referred to as “viruses,” “worms,” “Trojan horses,” “time bombs,” “time locks,” “drop dead devices,” “traps,” “access codes,” “cancelbots” or “trap door devices”) that:
(a) is designed to damage, disrupt, disable, harm, impair, interfere with, intercept, expropriate or otherwise impede in any manner, any data, storage media, program, system, equipment or communication, based on any event, including for example but not limited to (i) exceeding a number of copies, (ii) exceeding a number of users, (iii) passage of a period of time, (iv) advancement to a particular date or other numeral, or (v) use of a feature; or (b) would enable an unauthorized person to cause such result; or (c) would enable an unauthorized person to access another person’s information without such other person’s knowledge and permission.
The Parties hereby agree that all actions brought in respect of this Agreement, or any Services delivered pursuant to this Agreement, shall be brought before a Competent Court of British Columbia, and the parties hereby acknowledge the exclusive jurisdiction of the Competent Courts of Vancouver. Therefore, you agree that: Service shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than British Columbia.
This Agreement shall be governed by the internal substantive laws of Canada, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of a competent court located in, Canada, for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.
Service Availability. . The Service may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability.
Location Access: By using YaaLk Services, on Web or Websites, you give us, other users, and business accounts rights to access your location.
Communications. You consent to receive communications from us electronically. We will communicate with you by e-mail, phone calls or sms text messages. You agree that all agreements, notices, disclosures and other communications that YaaLk provides to you elect.
Third Party Content and Services: The Service may host Third Party Content, or include links to other websites or applications (each, a “Third Party Service”). We do not control or endorse any Third Party Content or Third Party Service. You agree that we are not responsible for the availability, accuracy, or content of any such Third Party Content or Third Party Service. Your use of and reliance on any Third Party Content or Third Party Service is at your own risk. Some of the services made available through the Service and Third Party Services may be subject to additional third party terms of service, privacy policies, licensing terms and disclosures, and other terms, conditions, and policies, including without limitation the ones posted here. It is your responsibility to familiarize yourself with any such applicable third party terms. Users will indemnify, defend and hold harmless YaaLk, its agents, affiliates, licensors, and Partners from any third party claim or liability (including without limitation reasonable legal fees) arising out of third parties accuracy Terms & Conditions.
